Job Description
This is a fantastic opportunity to join a legal team supporting a fast-growing, global, cutting-edge wireless networking company that is rapidly expanding. This position will be responsible for a variety of legal matters including supporting the transactional and other legal needs of the Company. This role reports directly to the General Counsel.
The role will work on diverse legal and business issues that require good judgment, flexibility, and critical thinking with a practical and business-friendly approach. You will support Meru Sales, Support, Marketing, Engineering and Human Resource teams on a daily basis, structuring transactions, drafting and negotiating contracts, and providing sound legal advice on a variety of issues (working with outside counsel as necessary). To be successful in this role, the ideal candidate must have the ability to negotiate and draft complex contracts and address complex legal and business issues efficiently, in creative and effective ways exercising sound business judgment, and with minimal day-to-day supervision.
Primary Duties
Review, draft and negotiate a wide variety of agreements, including complex enterprise sales agreements by working collaboratively with business and operations teams.
Interact with other groups to ensure compliance with contractual commitments
Manage or assist in corporate and securities matters, including public company compliance and transactions, corporate governance matters, mergers and acquisitions, and other legal matters as needed
Provide legal support to the marketing organization in connection with marketing collateral
Provide legal support to human resources as needed
Manage or assist with intellectual property issues (including patents, copyright and trademarks)
Write, review, and edit reports, opinions, correspondence, articles, and other documents.
Develop and recommend of operating policy and procedural improvements.
Desired Skills & Experience
Juris Doctorate degree
3 to 5 years of relevant legal experience
Knowledge of federal, state and local laws. Strong interpersonal and communication skills
Licensing experience supporting software/technology sales, business development, professional services and procurement
Experience negotiating large, complex enterprise agreements in a fast-paced, demanding sales environment
Securities law and/or M&A experience, including lead roles, a plus factor
Prior in-house experience with a U.S.-based multinational with at least 5 years of major law firm experience desired.
Outstanding verbal and written communication and organizational skills and initiative
Must be detail-oriented and insist on high quality work product
Flexibility and willingness to work on a wide range of complex matters with minimal supervision, often in a time-sensitive and extremely fast-paced environment
Strong negotiation skills and a track record of establishing strong working relationships
Must be admitted to the CA Bar within 1 year.
