Staff Counsel & Equivalency Determination Manager
(Regular, Full-Time, Exempt)
Reports to General Counsel, TechSoup Global

Position Summary:

Staff Counsel, TechSoup Global (30%): This position advises the organization's business and operations teams in a legal capacity on day to day matters. The Staff Counsel collaborates with the Associate General Counsel and General Counsel regarding relevant legal issues for the organization, such as reviewing and drafting contracts, supporting organizational M&A activities, international compliance and governance, and intellectual property registration and enforcement. This position will also supervise tasks assigned to pro-bono and outside counsel on various domestic and international matters, as well as law student interns as needed.

Equivalency Determination (ED) Manager, NGOsource (70%): This position will manage all reviews of ED applications, escalating issues to the Director, NGOsource as necessary, and will supervise TechSoup Global's team of Equivalency Determination Specialists. The ED Manager will work closely with the technology, global network, and account management teams as needed to ensure a streamlined and efficient ED process. The ED Manager will serve as part of a team developing new eligibility standards, processes and procedures for the entire organization, as well as applying our core capabilities to new service delivery, working with other TechSoup Global in-house attorneys, and sit on the Eligibility Review Board.

Major Duties and Responsibilities:

• Perform Legal Tasks for the Organization
o Assist with day to day relevant legal matters for TechSoup Global and its affiliated entities, elevating issues for review to AGC or senior management as necessary.
o Draft, review, and negotiate contracts such as donor agreements, IP licensing agreements, consulting agreements, and confidentiality and non-disclosure agreements.
o Advise business and operations teams on intellectual property strategy such as copyright, trademarks, privacy policy, and licensing.
o Assist AGC in developing contract policy, process and templates enabling compliance with contractual obligations, where appropriate.
o Coordinate and manage tasks with external and pro bono counsel in coordination with HR on an as needed basis.

• Process Equivalency Determinations
o Triage all NGOsource Equivalency Determinations, elevating issues for review to General Counsel as necessary,
o Manage and train other ED specialists.
o Adapt IRS regulations and/or grantmaker guidelines to NGOs in new countries, research and understand the impact of local regulations or requirements on the validation process.
o Design and implement business processes to enable an optimized Equivalency Determination service for international grant makers.
o Supervise the translation of the ED questionnaire. Act as primary point of contact for internal and external translation resources, to ensure translations remain legally compliant.
o Collaborate with TechSoup Global legal team, internal Eligibility Review Board, and external resources to determine US 501(c) (3) equivalency in target countries.
o Participate as a member of the cross-functional Eligibility Review Board.

• Other assigned tasks as necessary
o Conduct training on Equivalency Determinations and NGOsource processes and procedures.
o Draft NGOsource contracts and other agreements as needed.

Required skills and experience:

• J.D. degree and active state bar membership required.
• Three to five years of substantive legal experience including at least two years of tax law experience. Exempt organizations law highly preferred. Litigators need not apply.
• Knowledge of IRS regulations, Private Letter Rulings, and Revenue Procedures required. Knowledge of international grant making, Revenue Procedure 92-94, and the accompanying regulations highly preferred.
• Excellent interpersonal skills and a positive attitude.
• Ability to effectively understand and communicate complex information with a global audience in a culturally sensitive manner, both in written and verbal communications.
• Demonstrated ability to communicate effectively with a broad range of constituents, including executives, senior management, foundation personnel, technology teams, business teams, and NGOs.
• High degree of professionalism in both written and spoken communications.
• Excellent management and organizational skills, as well as analytical capabilities.
• International experience and foreign language skills highly desirable.
• Flexibility and ability to thrive in a fast-paced, changing environment as part of a small, "hands-on" team.
• Willingness to occasionally work non-standard business hours to accommodate time-zone variances.
