Sr. Corporate Counsel (Commercial Transactions) - Wind River Systems

This attorney position is based at Wind River's headquarters in Alameda CA, and will report to Wind River's Legal Director, IP Licensing. Candidate must be an active member of California Bar with a J.D. and excellent academic credentials. This position is ideal for an experienced attorney who seeks a diverse set of challenges and enjoys the opportunity to regularly develop new skills and legal/business knowledge.
The qualified candidate will have 8+ years of relevant experience with an emphasis on drafting and negotiating software licenses and other commercial transactions, in either a top tier law firm or in a mature in-house corporate setting; experience with open source software licensing and the embedded software industry are a strong plus.
This attorney will work closely with internal Wind River clients such as Wind River sales, professional services, product marketing, finance, alliances and other business units to establish legal policies, draft and negotiate contracts and advise on a wide variety of legal issues.
Responsibilities:
� Draft and negotiate a wide range of complex domestic and international technology agreements, including inbound and outbound software licenses and professional services agreements.
� Collaborate with business units and sales teams to ensure that transaction terms and conditions are consistent with business objectives, as well as management priorities and policies.
� Prepare standard form templates, process and policy documents for commercial and licensing transactions and develop and improve internal documentation process.
� Provide training to the sales organization worldwide.
� Special projects as needed.
Requirements:
� We are looking for an experienced, independent but collaborative team member who possesses superb judgment, and the ability to make decisions that balance the important business and legal priorities of the company.
� Excellent oral and written communication and time-management abilities required. Proven ability to handle difficult situations, multiple projects, and solve problems creatively in a fast paced work setting with minimal supervision a must. Successful candidate possesses superior interpersonal skills and a sense of humor.
� Strong technology licensing knowledge and experience and familiarity and experience with open source licensing, including GPL terms is a strong plus.
� 8+ years relevant experience (minimum of 2 years law firm experience).
� Foreign language: Japanese or Chinese a strong plus.
Salary and position level dependent upon experience.
