The Sr. Contracts Associate's responsibility is to assess, analyze, draft, review, negotiate and finalize contracts efficiently and effectively and in compliance with all laws, regulations and policies that govern the conduct of Pharmacyclics activities. This position is under attorney supervision within the Pharmacyclics' Legal Department and partners with clinical, finance, marketing, and internal clients from other departments to independently negotiate contracts that protect the company from risk and ensure compliance with company guidelines.

Key Accountabilities/Core Job Responsibilities:

• Conduct thorough and appropriate assessment, analysis, drafting, review, negotiation and issuance of assigned contractual documents, including, for example, CDAs, Consulting Services Agreements, Clinical Trial Agreements, Vendor Master Service Agreements, Laboratory Master Service Agreements, as well as Work Orders and Amendments thereof while adhering to required timelines.

• Negotiate the best contract terms possible for Pharmacyclics, taking into consideration risk exposure and risk tolerance of the Pharmacyclics

• Makes proactive recommendations for contract changes in areas of high scope and complexity. Focuses attention and activity on contract risk across assigned contracts. Identifies risks and issues, suggests alternatives that lead to the best solution.

• Ensures contract provisions are clear and conform to company policies.

• Work collaboratively, effectively and efficiently with all internal and external partners and stakeholders.

• Analyzes the scope, deliverables, and performance requirements, and terms and conditions of the contract and is able to assist the client regarding questions and track compliance.

• Consistently adhere to contract and document tracking requirements.

• Work collaboratively, effectively and efficiently with all internal and external partners and stakeholders

• Monitors contract performance by determining compliance to contract requirements and determining the need for amendments or extensions to the contract. Determines when client directed changes are out-of-scope.

• Responds to complex inquiries regarding contract obligations and revisions under the guidance of legal counsel.

• Proactively lead process improvements or other projects that enhance and streamline contract processes, systems, tools and other resources.

• Reviews, analyzes and tracks in-process and on-going agreements.

• Prepares and disseminates information regarding contract status, compliance, modifications, etc. Reports the status of contracts to internal clients using established processes.

• Train other Contract Associates on group/departmental processes and operational activities and customer specific processes.

• Lead or support internal audits of department processes and procedures.

• Support contract administrative functions as needed.

Qualifications and Requirements:

• BA/BS or equivalent experience, paralegal certificate a plus.

• 8 years experience in the legal or contracts management field (preferably in-house biotech or pharmaceutical).

• Strong contract drafting and negotiation skills in a variety of different agreement types Proficient with Word and have a working knowledge of Excel and Microsoft Access.

• Excellent written and verbal communication skills; professional manner. Able to work effectively and efficiently with all levels of management and personnel.

• Able to comprehend and manage business contracts and other complex documents.

• Able to handle multiple projects in a timely manner.

• Must have excellent attention to detail.

• Strong commitment to customer service.

• Demonstrated ability to maintain problem-solving approach in collaboration with internal and external contacts.

• Strong organizational skills; able to organize and follow through with projects; ability to efficiently handle large volume of contracts

• Strong organizational and planning skills and meticulous attention to detail.

• Able to work independently while exercising initiative, flexibility and good judgment
