Contracts Attorney

Responsibilities

Reviewing, revising, negotiating, and working with sales, management and customers on our contracts.
Very knowledgeable and proficient with the following types of transactions and agreements: software licensing, Beta and Trial agreements, NDAs', professional services agreements (statements of work), development agreements, inter-company agreements, and EULAs.
· ABBYY has a complex licensing model. The successful candidate must have substantial experience working with transactions and agreements involving complex licensing.

Click-through and e-signing software license agreement implementation.
Contract review and approval process design, implementation and execution.
Creation, maintenance and revision of templates.
Essential Skills & Abilities:

Reliable and rigorous attention to detail.
Ability to formulate robust processes.
Ability to comply with and implement processes.
Strong interpersonal communication skills.
Strong drafting/interpreting/writing skills.
Possess a high level of business acumen to work with business partners to find solutions to business needs and legal requirements.
Superb ability to think critically and communicate clearly and concisely both verbally and in writing.
Advanced knowledge of relevant laws, including business law, contract construction and negotiation techniques.
Highly motivated.
High level of responsiveness to clients and management.
Track record evidencing success in meeting client objectives.
Ability to be flexible while maintaining compliance with company policies and procedures.
Ability to communicate effectively and professionally both orally and in writing. Written documents must be consistently of high quality in both form and substance.
Ability to develop concise and effective contractual documents and policy statements that are protective of the company.
Effectively works on complex projects that require abstract strategies or creative reasoning with minimal supervision, but yet, work within a team environment, giving due regard to the management's preferences and keeping management updated.
Maintains awareness of industry trends and marketplace changes.
Ability to learn ABBYY's products, services, technologies and businesses.
Ability to work collegially and to foster a team environment.
Minimum Requirements (Education, Certification, Training, and Experience)

J.D. and membership in a state bar required
Minimum of 5+ years of relevant experience with a recognized firm or relevant in-house experience in a SW technology environment.
Advanced experience with all of the agreements referenced above.
Preferred Experience:

· Experience with trademark registration and adverse proceedings.

· Experience with corporate house-keeping and other corporate transactions.

· Experience with corporate policies.
