Position Summary:
The Associate Counsel, Social Enterprise Lending is responsible for (i) managing due diligence of prospective borrowers, (ii) reviewing and preparing loan documents, (iii) managing loan transaction logistics to ensure timely, efficient, and professional documentation and closings and (iv) managing post-closing legal relationship with borrowers. This position also supervises the work of the Loan Documentation Associate.
Essential Duties & Responsibilities:
• Produce loan documents for RSF's Social Enterprise Lending program that reflect the intentions of the parties and protect RSF's interests and social mission
• Meet production expectations for new loan transactions and modifications to existing loans
• Supervise the work of the Loan Documentation Associate
• Manage loan transactions between RSF and borrowers to ensure timely, accurate, and professional documentation and closings at a pace consistent with organizational goals, including:
o legal due diligence review of prospective borrowers
o commercial line of credit, equipment and mortgage loan closings
o changes in terms for existing loans
• Manage routine ongoing legal issues with borrowers
• Conduct legal research on lending law as it applies to RSF and other legal issues
• Produce and edit legal and documentation procedures and best practices that are pertinent to RSF's lending operations
• Review legal documents produced by other parties related to RSF's lending activities
• Provide information, documents, and support to portfolio management and client servicing staff as needed
• Participate in Credit Committee
• Assist with special projects as needed
• Perform other duties as assigned
Knowledge, Skills, and Abilities:
Education and Experience: Must have a law degree (JD or equivalent). Must be a member in good standing of a state bar association (California preferred). Experience includes a minimum of two years' experience in preparing loan documents, preferably in the area of secured commercial lending; demonstrated familiarity with loan operations procedures; and demonstrated ability to conduct legal research. A successful candidate will have experience in most (though not necessarily all) of the following practice areas: commercial finance, real estate, and tax-exempt organizations.
English Language Communication Skills: Must be fluent in English, with superior oral and written communication skills, including the ability to clearly and concisely explain complex legal concepts in lay terms. Must have the ability to confer and negotiate with outside counsel and clients' counsel. Strong writing skills are a must, including the ability to write with precision and in accord with rules of grammar, punctuation, and style as befits professional quality prose
Computer Skills: Must be able to effectively use standard business software such as Microsoft Word, PowerPoint, and Excel. Competitive candidates will have experience using using LaserPro or similar commercial lending software. Candidates must also be able to use the Internet for research and information-gathering.
Judgment and Independence: Must have the ability to exercise good judgment and respond appropriately to changing circumstances and priorities. Must be able to grasp complex legal and transactional issues quickly. Candidates must be able to deal effectively with clients, service providers and other staff, and to manage multiple timelines and meet client-driven deadlines.
Physical Demands: Must be able to use a computer for extended periods of time up to 8 hours per day; and must be able to communicate frequently orally and by telephone.
Attendance and Availability: Must be able to work at RSF's offices during regular office hours as set forth in RSF's Employee Manual, and to occasionally work extra hours as necessary to complete time-sensitive projects.
